1. Acceptance of Terms

By accessing and using RushPay's services, you agree to be bound by these Terms and Conditions. RushPay Fintech Group Ltd is a legally registered fintech business in Ghana, currently operating through a licensed third-party payment service provider regulated by the Bank of Ghana. We facilitate digital financial transactions in compliance with Ghana's Payment Systems and Services Act, 2019 (Act 987), and are in the process of acquiring our own payment service provider license.

Operations: We partner with a Bank of Ghana licensed payment service provider to process all transactions securely.

Your Funds Are Safe: All user funds are held securely by the Bank of Ghana through our licensed third-party partner, not by RushPay directly. This means your money is protected by Ghana's financial regulatory framework and is safeguarded even in the unlikely event of business disruption or disasters.

3. Service Description

RushPay provides the following services through our licensed payment infrastructure partner:

• Instant Deposits: Add funds to your RushPay wallet through authorized channels
• User-to-User Transfers: Send money to other RushPay users instantly
• Bank & Mobile Money Withdrawals: Withdraw funds to Ghana-registered bank accounts and mobile money wallets
• Payroll Services: Bulk payment solutions for businesses
• Giftcards: Purchase and redeem digital giftcards
• QR Code Payments: Merchant payment solutions using QR codes
• Bulk Payments: Process multiple payments simultaneously

4. Fees and Charges

Withdrawal Fees:

• Mobile Money Withdrawals: GH₵2.00 flat fee per transaction
• Bank Transfers: GH₵10.00 flat fee per transaction
• Payroll Disbursements: Same fee structure applies (GH₵2.00 for mobile money, GH₵10.00 for bank transfers)

User-to-User Transfer Fee:

• Weekly Service Fee: GH₵1.00 per week charged to both sender and receiver who make transfers
• Fee applies once per week regardless of the number or amount of transfers made during that week
• The weekly period runs from Monday to Sunday
• Your first transfer each week automatically activates this fee
• Unlimited transfers within the week after paying the weekly fee

Free Services: Deposits and QR code payments are free of charge.

All fees are clearly displayed before transaction confirmation. RushPay reserves the right to modify fees with 30 days' prior notice to users.

5. Fund Security and Custody

How Your Money is Protected:

• Third-Party Custody: All user funds are held by our Bank of Ghana licensed payment service provider partner, not by RushPay Fintech Group Ltd
• Regulatory Protection: Your funds are subject to Bank of Ghana's stringent regulatory oversight and protection frameworks
• Disaster Protection: Even in the event of business disruption, natural disasters, or unforeseen circumstances affecting RushPay, your funds remain safe and accessible through our licensed partner
• Segregated Accounts: Customer funds are held in segregated accounts, separate from operational funds
• Licensed Infrastructure: We leverage fully licensed and regulated payment infrastructure to ensure maximum security and compliance

Your Peace of Mind: RushPay does not hold your funds. Your money is always protected by Bank of Ghana regulations through our licensed payment partner, ensuring the highest level of security and regulatory compliance.

6. User Obligations

• You must be at least 18 years old to use RushPay services
• You must provide accurate and complete registration information
• You are responsible for maintaining the confidentiality of your account credentials and PIN
• You must not use RushPay for illegal activities, money laundering, or terrorist financing
• You must comply with Ghana's Anti-Money Laundering Act, 2020 (Act 1044)

7. Transaction Limits

Transaction limits may apply based on your account verification level and compliance with Know Your Customer (KYC) requirements as mandated by Bank of Ghana and implemented by our licensed payment partner.

8. Account Security

• Use a strong 4-digit PIN and never share it with anyone
• Notify RushPay immediately of any unauthorized transactions
• Enable two-factor authentication when available
• Regularly review your transaction history

9. Transaction Processing

All transactions are processed through our Bank of Ghana licensed payment partner's secure infrastructure:

• Deposits: Typically processed instantly (free of charge)
• Bank Withdrawals: 1-24 hours processing time (GH₵10.00 fee per transaction)
• Mobile Money Withdrawals: Typically instant, may be delayed due to network provider issues (GH₵2.00 fee per transaction)
• User-to-User Transfers: Instant processing (GH₵1.00 weekly service fee applies to both sender and receiver - unlimited transfers within the week)

10. Dispute Resolution

Report transaction disputes within 30 days. RushPay and our payment partner will investigate and respond within 14 business days. Unresolved disputes may be escalated to the Bank of Ghana or appropriate regulatory authorities.

11. Service Availability

While we strive for 24/7 availability, RushPay reserves the right to suspend services for maintenance or emergencies. We will provide advance notice where possible. Service may also be affected by our third-party payment partner's maintenance schedules.

12. Account Suspension and Termination

RushPay may suspend or terminate accounts that violate these terms, engage in fraudulent activities, or fail to comply with regulatory requirements set by Bank of Ghana.

13. Liability Limitations

RushPay Fintech Group Ltd acts as a platform facilitating transactions through licensed payment infrastructure. We are not liable for losses arising from user negligence, unauthorized access due to compromised credentials, or force majeure events. Since we do not hold user funds, your money remains protected by our licensed payment partner even during business disruptions.

14. Intellectual Property

All RushPay trademarks, logos, and content are protected. Unauthorized use is prohibited.

15. Licensing and Regulatory Status

RushPay Fintech Group Ltd is a legally registered fintech business currently operating through a Bank of Ghana licensed payment service provider. We are actively pursuing our own payment service provider license and will update our users once obtained. This partnership model ensures all transactions are fully regulated and compliant with Ghana's financial regulations.

16. Amendments

RushPay may update these terms with reasonable notice. Continued use constitutes acceptance of updated terms.

17. Governing Law

These terms are governed by the laws of Ghana. Disputes shall be resolved in Ghanaian courts.

3. Fund Safety Assurance

Your Money is Safe: Because your funds are held by our Bank of Ghana licensed payment partner (not by RushPay), they remain secure and accessible even if:

• RushPay experiences business disruption or operational challenges
• Natural disasters or unforeseen events occur
• There are changes in RushPay's business structure

4. Not Financial Advice

RushPay provides payment infrastructure, not financial, investment, tax, or legal advice. Consult qualified professionals for such matters.

5. Transaction Risks

• User Responsibility: You are responsible for verifying recipient details before initiating transfers. RushPay cannot reverse completed transactions.
• Network Delays: Bank and mobile money network delays are beyond our control
• Fraud Risk: Protect your credentials. RushPay will never request your PIN via email, SMS, or phone
• Account Verification: Unverified accounts may have limited functionality

6. Third-Party Services

RushPay integrates with a Bank of Ghana licensed payment partner, banks, and mobile money operators. We are not responsible for their service interruptions, policy changes, or errors. Issues with external services should be directed to those providers. However, your funds remain protected by regulatory frameworks.

7. Limitation of Liability

To the fullest extent permitted by law, RushPay Fintech Group Ltd is not liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding the fees paid for the specific transaction in question
• Service interruptions due to maintenance, updates, or technical issues
• User errors, negligence, or unauthorized account access

Note: Since we do not hold user funds directly, your money remains protected by our licensed payment partner even during RushPay service disruptions.

8. Force Majeure

RushPay is not liable for delays or failures caused by events beyond our reasonable control including natural disasters, pandemics, government actions, network outages, cyber attacks, or civil unrest. Your funds remain safe with our licensed payment partner during such events.

9. Fees and Charges

Withdrawal Fees:

• Mobile Money: GH₵2.00 per transaction
• Bank Transfer: GH₵10.00 per transaction
• Payroll: Same rates apply (GH₵2.00 for mobile money, GH₵10.00 for bank)

User-to-User Transfer Fee:

• Weekly Service Fee: GH₵1.00 per week (charged to both sender and receiver)

• Unlimited transfers within the week after paying the fee

All fees are clearly displayed before transaction confirmation. Additional charges by banks or mobile money operators (beyond our control) are their responsibility, not RushPay's. Deposits are free.

10. Account Security

Important Security Notice:

• Never share your PIN or OTP codes with anyone
• RushPay staff will NEVER ask for your PIN
• Beware of phishing attempts via fake emails or SMS
• Always verify you're on the official RushPay website (rushpay.cash)
• Report suspicious activity immediately
• Your funds are held by our licensed partner, adding an extra layer of security

11. Prohibited Activities

RushPay prohibits use of our services for:

• Money laundering or terrorist financing
• Fraud, scams, or illegal gambling
• Purchase of illegal goods or services
• Ponzi schemes or pyramid schemes
• Any activity violating Ghanaian laws

Violators will face account suspension and potential legal action.

12. Service Modifications

RushPay reserves the right to modify, suspend, or discontinue any feature or service with reasonable notice. We are not liable for any modification, suspension, or discontinuation. Your funds remain safe with our licensed payment partner during any service changes.

13. Exchange Rates

Where applicable, exchange rates are provided by third-party providers. RushPay is not responsible for rate fluctuations.

14. Giftcard Disclaimer

Giftcards are subject to issuer terms and conditions. RushPay facilitates purchases but is not responsible for giftcard validity, redemption issues, or issuer policy changes.

15. Payroll Services

Businesses using payroll services are responsible for:

• Accuracy of employee data and payment amounts
• Compliance with Ghana's labor and tax laws
• Sufficient funds for bulk payments (processed through our licensed payment partner)
• Employee consent for payment method

Payroll Fees: GH₵2.00 for mobile money, GH₵10.00 for bank transfers per employee.

16. QR Code Payments

Merchants are responsible for displaying accurate QR codes. Customers should verify payment details before confirming transactions. All QR transactions are processed through our licensed payment infrastructure.

17. Dispute Resolution

While we investigate disputes in good faith, our decisions are final unless overturned by regulatory authorities or courts. Disputes involving fund custody will be handled in conjunction with our licensed payment partner.

18. No Guarantee of Availability

RushPay does not guarantee continuous, uninterrupted, or secure access to services. Scheduled and emergency maintenance may occur. However, your funds remain accessible through our licensed payment partner even during RushPay service interruptions.

19. User Content

Users are responsible for data they input into RushPay. We are not liable for errors in user-provided information.

20. Links to External Sites

RushPay may contain links to third-party websites. We are not responsible for their content, privacy practices, or security.

21. Indemnification

You agree to indemnify RushPay Fintech Group Ltd against claims arising from your violation of these terms, applicable laws, or third-party rights.

22. Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

23. Entire Agreement

These terms, privacy policy, and disclaimer constitute the entire agreement between you and RushPay Fintech Group Ltd.
